1. General Information & Parties
These Terms and Conditions ("Terms") govern the provision of all services offered by Singh Digital Solutions (trading as "Aspire Digital Design Agency"). By accessing our website, requesting a consultation, or signing a service agreement with us, you accept these Terms in full.
2. Scope of Services
2.1 Smart Websites
Professional website design, hosting setup, SSL security, mobile optimisation, booking engine integration, and on-page SEO.
2.2 Review Accelerator & Local SEO
Automated review request workflows, Google Business Profile optimisation, negative feedback filtering, and local ranking improvements.
2.3 AI Assistants & Automations
24/7 Web Chatbots, AI Voice Call Assistants, CRM workflow setup, and automated lead nurturing.
2.4 Custom Consulting & SEO Audits
SEO Foundation one-time technical audit (£497), monthly SEO Growth Engine (£347/mo), and project modifications.
3. Pricing & Payment Terms
All quoted prices include German VAT (Mehrwertsteuer) at 19% unless explicitly stated otherwise.
Setup fees cover all initial implementation (design, CRM build, configuration, launch) and are due upon agreement execution.
Monthly fees cover hosting, maintenance, ongoing support, and platform access, billed on the 1st of each month via SEPA direct debit, credit card, or bank transfer.
Invoices are due within 14 days of issue. Payments overdue by more than 30 days may result in temporary suspension of digital services until resolved.
4. Cancellation & Refund Policy
4.1 Consumer Right of Withdrawal (14 Days)
Consumers have the right to withdraw from this agreement within 14 calendar days without giving any reason. Business entities (B2B) are bound by the agreed commercial terms.
4.2 Monthly Subscription Cancellation
Monthly subscriptions can be cancelled at any time with 14 days' written notice prior to the end of the billing cycle by emailing demo@info.uk.aspiredigitaldesign.com. There are no long-term lock-ins.
5. Data Ownership & Intellectual Property
Your Data: You retain 100% ownership of your customer list, website text, brand assets, and project data.
Software & Templates: Aspire Digital Design grants you a non-exclusive license to use the custom website builds, automated workflows, and configurations created for your business.
6. Warranty & Liability Limitations
We adhere to professional industry standards for design, local SEO, and AI configurations. Because search engine algorithms and market conditions depend on external factors, specific Google rankings or exact sales numbers cannot be guaranteed. Our liability is limited in accordance with statutory German commercial laws.
Ranking Disclaimer: We implement industry best practices to improve your local visibility. However, we cannot guarantee specific search rankings—search engines and other platforms determine rankings through their own algorithms, which are outside our control.
7. VAT & Reverse Charge Mechanism (UK B2B)
For B2B services supplied to businesses established in the United Kingdom, the Reverse Charge mechanism (shift of VAT liability) applies under § 13b of the German VAT Act (UStG). In these cases the recipient of the service (the UK business) is responsible for accounting for the VAT; our invoices therefore show VAT as 'Reverse Charge' provided a valid UK VAT ID is supplied.
Please provide your valid UK VAT identification number so that we can apply the Reverse Charge mechanism correctly.
8. Governing Law & Jurisdiction
Governing Law & Jurisdiction
All B2B contracts are governed exclusively by the laws of the Federal Republic of Germany, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Berlin, Germany are agreed as the exclusive place of jurisdiction for all disputes arising from or in connection with these contracts. The place of fulfilment is Berlin, Germany.
